End User License Agreement

Your license to use the Sparkify application.

This End User License Agreement ("EULA") is a legal agreement between you and MediaDesignExpert FZE ("we", "us", or "our") for the Sparkify application and any updates, together with any accompanying documentation (the "Application"). By downloading, installing, or using the Application, you agree to this EULA. If you do not agree, do not download, install, or use the Application.

1. License grant

We grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Application on any device you own or control, solely for your lawful personal or business use, in accordance with this EULA and the usage rules of the app store from which you obtained it.

2. Restrictions

You may not: (a) copy, modify, or create derivative works of the Application; (b) reverse engineer, decompile, or disassemble it, except to the extent permitted by law; (c) rent, lease, lend, sell, sublicense, or distribute it; (d) remove any proprietary notices; or (e) use it to build a competing product or in any way that violates applicable law or the app store terms.

3. Ownership

The Application is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Application, including all intellectual property rights. You retain ownership of the business data you create with the Application.

4. Updates

We may provide updates, upgrades, or patches. This EULA governs any such updates unless they are accompanied by a separate license. The Application may require a minimum supported version to keep working with our services.

5. Privacy

Your use of the Application is also governed by our Privacy Policy and Terms & Conditions, which are incorporated by reference.

6. Third-party terms

The Application may include or interact with third-party software and services (such as Google Firebase). You agree to comply with any applicable third-party terms.

7. Term and termination

This EULA is effective until terminated. It terminates automatically if you breach it. On termination, you must stop using the Application and delete all copies. Sections that by their nature should survive will survive termination.

8. Disclaimer of warranties

To the maximum extent permitted by law, the Application is provided "as is" and "as available" without warranty of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or data, arising from your use of or inability to use the Application. Our total liability will not exceed the greater of the amount you paid for the Application or USD 50.

10. Apple App Store additional terms

If you obtained the Application from the Apple App Store, the following also apply:

  • This EULA is between you and MediaDesignExpert FZE only, and not with Apple. Apple is not responsible for the Application or its content.
  • The license is limited to use of the Application on any Apple-branded device you own or control, as permitted by the App Store Usage Rules.
  • MediaDesignExpert FZE, not Apple, is solely responsible for providing maintenance and support for the Application.
  • In the event the Application fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Application.
  • MediaDesignExpert FZE, not Apple, is responsible for addressing any claims relating to the Application, including product liability, legal or regulatory compliance, and consumer protection claims.
  • In the event of any third-party claim that the Application or your use of it infringes intellectual property rights, MediaDesignExpert FZE, not Apple, is responsible for the investigation, defense, settlement, and discharge of such claim.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not on any U.S. Government restricted-parties list.
  • Apple and its subsidiaries are third-party beneficiaries of this EULA and, upon your acceptance, will have the right to enforce it against you.

11. Governing law

This EULA is governed by the laws of the applicable jurisdiction in which MediaDesignExpert FZE is established, except that (for Apple App Store downloads) the Apple-specific terms above apply as stated.
