These Terms & Conditions ("Terms") govern your access to and use of the Sparkify applications and services (the "Service") provided by MediaDesignExpert FZE ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your registration details, for keeping your password confidential, and for all activity under your account. Notify us immediately of any unauthorized use.

2. The Service

Sparkify provides business management tools including inventory, invoicing, contacts, accounting records, and an optional online store. The Service is offline-first: your data is stored on your device and synced to our servers when you are online. We may add, change, or discontinue features at any time.

3. Your data and responsibilities

You retain ownership of the business data you enter. You grant us a limited license to store, process, and transmit that data solely to operate the Service for you (including syncing and, where you enable it, publishing your online store). You are solely responsible for the lawfulness, accuracy, and backup of your data, and for how you use the Service to run your business, including tax, invoicing, and record-keeping compliance.

4. Acceptable use

You agree not to: (a) use the Service for unlawful, fraudulent, or infringing purposes; (b) upload malicious code or attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; (c) resell or provide the Service to third parties except as intended; or (d) misuse the online store to sell prohibited goods or deceive customers.

5. Tokens, plans, and payments

Certain features consume in-app "tokens" or require a paid plan. Prices, token costs, and inclusions may change. Purchases made through an app store are also subject to that store's terms. Except where required by law or expressly stated, payments and token purchases are non-refundable.

6. Online store and orders

If you enable an online store, you are the seller of record for orders placed by your customers. You are responsible for fulfilling orders, honoring your listed prices, handling customer communications, refunds, and complying with consumer-protection laws. We are not a party to transactions between you and your customers.

7. Intellectual property

The Service, including its software, design, and trademarks (including "Sparkify"), is owned by us or our licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service; no other rights are granted.

8. Third-party services

The Service integrates third-party services (such as Google Firebase, hosting, and payment providers). Your use of those components may be subject to their terms, and we are not responsible for third-party services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost. You are responsible for maintaining your own backups.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your use of the Service, your data, your online store, or your violation of these Terms or applicable law.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or misuse the Service. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, and limitation of liability) will survive.

13. Governing law

These Terms are governed by the laws of the applicable jurisdiction in which MediaDesignExpert FZE is established, without regard to conflict-of-law rules. The courts of that jurisdiction will have exclusive jurisdiction over disputes, except where mandatory local law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Service after changes means you accept the revised Terms.
